These Terms of Service ("Terms") govern your access to and use of the website located at ood-labs.com (the "Site"), operated by Out of Distribution Labs ("OOD Labs," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site or make purchases. By using the Site, you represent and warrant that you meet this eligibility requirement.

We may update these Terms from time to time. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

2. Description of Service

OOD Labs operates a marketing website that provides information about our products and services, including:

  • Sentinel — real-time AI video processing software
  • Meridian — lighting control software (coming soon)

The Site allows visitors to learn about our products, join waitlists for upcoming releases, purchase software licenses, and contact our support team. The Site does not require or offer user account creation.

3. Purchases and Payments

All purchases made through the Site are processed by LemonSqueezy, which acts as the Merchant of Record for our transactions. When you make a purchase, you are entering into a transaction with LemonSqueezy, which handles payment processing, sales tax collection, currency conversion, and transaction compliance on our behalf.

All financial transactions are processed by LemonSqueezy, our Merchant of Record, and are governed by LemonSqueezy's Terms of Service (available at lemonsqueezy.com/terms). By making a purchase through our Site, you agree to be bound by LemonSqueezy's terms in addition to these Terms. All pricing is displayed in the currency indicated at the time of checkout and includes applicable taxes as calculated by LemonSqueezy.

Refunds

We offer a 30-day money-back guarantee on software purchases. To request a refund, contact support@ood-labs.com within 30 days of purchase. Refunds are processed through LemonSqueezy in accordance with applicable consumer protection laws. After the 30-day period, all sales are final.

4. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, trademarks, images, animations, software, source code, and design elements — is the property of Out of Distribution Labs or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site, except as follows:

  • Your browser may temporarily cache copies of pages and assets for display purposes.
  • You may print or download one copy of a reasonable number of pages for your own personal, non-commercial use, provided you do not modify the content or remove any copyright or proprietary notices.

The names "Out of Distribution Labs," "OOD Labs," "Sentinel," and "Meridian," along with any associated logos and product names, are trademarks of Out of Distribution Labs. You may not use these marks without our prior written permission.

5. User Conduct

When using the Site, including submitting information through our waitlist signup forms or contact forms, you agree not to:

  1. Provide false, misleading, or fraudulent information.
  2. Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  3. Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected systems or networks.
  4. Interfere with or disrupt the Site or servers or networks connected to the Site.
  5. Use any automated system, including bots, scrapers, or spiders, to access the Site for any purpose without our express written permission.
  6. Submit spam, unsolicited advertising, or bulk messages through our forms.
  7. Attempt to reverse-engineer, decompile, or disassemble any software or technology used on the Site.

We reserve the right to block access to the Site for any user who violates these Terms, at our sole discretion and without prior notice.

6. Email Collection and Communications

When you submit your information through our waitlist signup or contact forms, we collect the data you provide (such as your name and email address) to process your request. Transactional emails are sent via Resend.

7. Third-Party Services

The Site relies on third-party services for hosting, payment processing, and email delivery. These include but are not limited to Cloudflare (hosting and CDN), LemonSqueezy (commerce), and Resend (email). We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

The Site may contain links to third-party websites. We do not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party sites or services.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OOD LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OOD LABS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE SITE IS AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM OOD LABS OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUT OF DISTRIBUTION LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  1. Your access to or use of, or inability to access or use, the Site;
  2. Any conduct or content of any third party on or related to the Site;
  3. Any content obtained from the Site; or
  4. Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OOD LABS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SITE EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO OOD LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Out of Distribution Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from:

  1. Your use of or access to the Site;
  2. Your violation of these Terms;
  3. Your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or
  4. Any claim that your use of the Site caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

11. Termination

We may terminate or suspend your access to the Site at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will immediately cease. The following sections shall survive any termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the Effective Date at the top of this page and will notify users by email (if available) or by posting a prominent notice on the Site.

It is your responsibility to review these Terms periodically. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.

13. Force Majeure

OOD Labs shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, power outages, internet disruptions, or the failure of third-party services upon which the Site depends.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Alameda County, California. The arbitrator's decision shall be final and binding.

You and OOD Labs agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

If for any reason a claim proceeds in court rather than in arbitration, you and OOD Labs each waive any right to a jury trial.

This section shall survive termination of these Terms.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court in Alameda County, California, if the claim falls within the court's jurisdictional limits.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Alameda County, California. You consent to the personal jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms without our prior written consent. OOD Labs may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section shall be null and void.

19. Entire Agreement

These Terms, together with our Privacy Policy and End User License Agreement (where applicable), constitute the entire agreement between you and Out of Distribution Labs regarding your use of the Site. These Terms supersede any prior agreements or communications between you and OOD Labs regarding the Site.
